01.Definitions

• "Service" refers to the Nexora Accbot SaaS platform, including cloud accounting engines, double-entry ledgers, cheque management pipelines, transport logistics billing, financial reporting tools, APIs, and associated web interfaces.
• "Company", "we", or "us" refers to Nexora Software Solutions, a registered company incorporated under the laws of Sri Lanka.
• "User", "you", or "Subscriber" refers to any individual, business, or organization that creates an account or utilizes the Service.
• "Organization / Tenant" refers to the isolated multi-tenant workspace provisioned for a registered business entity within the Service.
• "Customer Content / Data" refers to all financial data, invoices, cheques, transactions, journal entries, supplier/customer ledgers, chart of accounts, and uploaded documents provided by you to the Service.
• "Subscription Plan" refers to any free trial or paid tier (Monthly, Semi-Annual, Annual) granting active access to workspace operations and features.

02.Eligibility, Account Registration & Workspace Security

To register for and use Nexora Accbot, you must be at least 18 years of age and legally capable of entering into binding commercial contracts. By registering, you warrant that all information supplied-including your legal name, business registration number, email address, and contact number-is accurate, complete, and up-to-date.

03.Subscription Plans, Billing & Payment Processing

Nexora Accbot provides both a complimentary Free Trial and tiered Paid Subscriptions (Monthly, Semi-Annual, Annual). Detailed pricing, billing currencies (Sri Lankan Rupees / LKR or United States Dollars / USD), and feature allocations are outlined within the platform's Billing section.

We reserve the right to revise subscription fees with reasonable advance notice. Continued use of the platform following the effective date of a price revision constitutes acceptance of the modified rates.

04.Strict No-Refund & Cancellation Policy

• Cancellation at Will: You may cancel your subscription at any time via your workspace Settings > Billing section.
• Access Duration: Upon cancellation, your workspace retains active access to all paid features until the conclusion of the currently paid billing period (SubscriptionEndDate).
• No Pro-Rata Refunds: No partial or pro-rated refunds will be issued for unused time, partial billing periods, or feature non-utilization.
• Post-Expiry Status: After your paid term concludes, workspace write access will be paused, and your account will transition to an archived / restricted tier until renewed.

05.Acceptable Use & Prohibited Conduct

You agree to use Nexora Accbot exclusively for lawful commercial accounting and administrative purposes. You agree that you will not:

06.Customer Data Ownership & Intellectual Property

Your Data: You retain complete ownership, title, and intellectual property rights to all financial records, invoices, customer directories, and transactions uploaded to your workspace. We do not claim any ownership over your customer data. You grant us a limited, non-exclusive license solely to host, process, calculate, and back up your data to provide the Service.

Nexora IP: All platform code, double-entry mathematical models, user interfaces, branding, graphics, and documentation are the exclusive intellectual property of Nexora Software Solutions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. NEXORA SOFTWARE SOLUTIONS, ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, BUSINESS PROFITS, DATA CORRUPTION, OR INTERRUPTION OF OPERATIONS.

In all cases, our total aggregate liability arising out of or related to your use of Nexora Accbot shall strictly not exceed the total subscription fees actually paid by you to the Company in the three (3) months immediately preceding the event giving rise to the claim.

09.Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka. Any dispute, claim, or controversy arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Sri Lanka.

10.Modification of Terms

Nexora Software Solutions reserves the right to modify, update, or amend these Terms at any time. Material changes will be communicated via email or prominent in-platform notification at least fourteen (14) days prior to the effective date. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the modified Terms. If you disagree with any modifications, your sole remedy is to cancel your subscription before the effective date.

The "Last Updated" date at the top of this page reflects the most recent revision. We encourage you to review these Terms periodically.

11.Account Suspension & Termination by Nexora

We reserve the right to suspend, restrict, or permanently terminate your workspace access at any time, with or without prior notice, if:

Upon termination for cause, you forfeit all subscription fees already paid. Where feasible, we will provide reasonable notice and an opportunity to export your data prior to permanent closure.

12.Indemnification

You agree to indemnify, defend, and hold harmless Nexora Software Solutions, its directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of the Service, including any inaccurate data you enter into the platform.
• Your violation of these Terms or any applicable law, regulation, or third-party right.
• Any third-party claim related to your Customer Content, financial data, or business activities conducted through the Service.
• Any tax filing, statutory non-compliance, or audit deficiency arising from data you processed through Nexora Accbot.

13.Force Majeure

Nexora Software Solutions shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to:

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity of the remaining provisions of these Terms, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.Waiver & Entire Agreement

Waiver: The failure of Nexora Software Solutions to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of Nexora Software Solutions.

Entire Agreement: These Terms, together with the Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and Nexora Software Solutions regarding the use of the Service and supersede all prior written or oral agreements, negotiations, representations, and discussions between the parties.
